Terms of Use

1. Parties and Definitions

These Terms of Use govern the relationship between Talep Teknoloji A.Ş. ("talep.io"), which operates the talep.io platform (the "Platform"), the company that registers on the Platform on behalf of its organization (the "Customer"), and the individuals who use the Platform under the Customer's account ("Users").

A User who registers on the Platform or joins by invitation declares that they accept these terms both on their own behalf and on behalf of the Customer they represent, and that they are authorized to do so.

A "Supplier" is a third party from whom the Customer requests quotes, whom it invites to tenders or with whom it does business through the Platform. Suppliers use the Platform subject to the separate Supplier Terms of Use.

2. Account and Authorized Users

• Registration is made with a corporate email address belonging to the Customer. People who later register with the same email domain join the Customer account as members. The Customer is responsible for managing who has access to its account from the Settings screen.
• Users must keep their sign-in details confidential, must not share them with third parties, and must notify talep.io immediately if they notice unauthorized use of their account.
• All actions taken under the Customer account are deemed to be the Customer's. The Customer is responsible for its users' compliance with these terms.

3. Scope of the Service and Fees

The Platform is a cloud-based software service for purchase requests, tenders, quote collection, supplier management, contracts and related processes.

A newly registered Customer receives a certain number of free tenders. The current number of free tenders is shown on the sign-up screen and within the Platform. talep.io may change the scope of free usage going forward; tenders already used are not affected by such a change.

Moving to paid use is done through a separate quote or order form agreed between the parties. Fees, payment and invoicing terms are set out in that document; if that document conflicts with these terms, that document applies.

4. Customer Data

• All data and documents the Customer enters into or uploads to the Platform ("Customer Data") belong to the Customer. talep.io claims no rights over Customer Data other than the right of use needed to provide the service.
• talep.io processes Customer Data only to provide the service, ensure security, provide support and meet its legal obligations. Customer Data is not sold and is not used for advertising.
• talep.io may produce aggregate usage statistics, anonymized so that no one can be identified, to improve the service.
• The Customer is responsible for ensuring that the data it enters into the Platform is lawful and that it has the permissions and legal basis needed to process that data.

5. Protection of Personal Data

With respect to personal data the Customer enters into the Platform (for example, about its employees and supplier contacts), the Customer is the data controller and talep.io is the data processor acting on the Customer's behalf. talep.io processes this data in accordance with Turkish Personal Data Protection Law No. 6698 (KVKK) and, to the extent applicable, the EU General Data Protection Regulation (GDPR).

With respect to Users' account and usage data, talep.io is the data controller. How this data is processed, which service providers it is shared with and how you can exercise your rights are explained in the Privacy Policy (talep.io/privacy). The Privacy Policy forms an integral part of these terms.

6. Rules of Use

When using the Platform, the Customer and Users agree not to:

• Use the Platform for unlawful purposes or in a way that infringes the rights of third parties
• Upload misleading, fake or harmful content (including malware)
• Test or attempt to bypass the Platform's security, or attempt to access another customer's data
• Overload the Platform with automated tools, reverse engineer it or copy it
• Rent or transfer the account to third parties without talep.io's written consent

7. AI-Assisted Features

Some features of the Platform (for example, drafting a tender from a specification, reading bids and comparison suggestions) work through artificial intelligence service providers. When these features are used, the relevant content is sent to these providers solely to perform that operation.

AI outputs are suggestions and may contain errors. Purchasing, tender and supplier decisions are made by the Customer; it is the Customer's responsibility to check outputs before using them.

8. Relationship with Suppliers

talep.io is not a party, intermediary or agent in the commercial relationship between the Customer and Suppliers. Quotes, tender decisions, orders, contracts, deliveries, payments and any disputes arising from them are solely between the Customer and the relevant Supplier.

talep.io does not guarantee the accuracy of the information Suppliers enter into the Platform, or Suppliers' financial standing or reliability.

9. Service Continuity

talep.io strives to provide the Platform with reasonable care and without interruption. Short interruptions may occur due to planned maintenance, failures at third-party infrastructure providers or events beyond talep.io's control. Planned and lengthy maintenance is announced in advance whenever possible.

talep.io may improve or change the Platform's features. Removing a core feature the Customer pays for counts as a material change under Section 13.

10. Intellectual Property

All rights to the Platform's software, design, brand and content belong to talep.io. These terms grant the Customer only the right to use the Platform for its own internal business during the term of the service.

Suggestions and feedback provided by the Customer may be used to improve the Platform without creating any obligation toward the Customer.

11. Limitation of Liability

talep.io's total liability under these terms is limited to the service fees the Customer paid to talep.io in the twelve months before the date the damage occurred. talep.io is not liable for indirect damages, loss of profit or revenue, business interruption, or damages arising from transactions between the Customer and Suppliers.

These limitations do not apply to damages arising from talep.io's intent or gross negligence, or to liability that cannot be limited by law (Turkish Code of Obligations No. 6098, Article 115).

12. Termination and Return of Data

• The Customer may close its account at any time. During paid periods, termination is subject to the terms of the relevant quote or order form.
• talep.io may suspend or close the account in case of serious or repeated breach of these terms, use that threatens the Platform's security, or unpaid fees. Except in urgent security situations, the Customer is notified in advance and given a reasonable period to remedy the breach.
• After the account is closed, the Customer may request an export of its data within 30 days. At the end of this period, Customer Data is deleted or anonymized, subject to legal retention obligations.

13. Changes to the Terms

talep.io may update these terms. The current text is always published on this page, and changes are announced to the registered email address or within the Platform.

Material changes to the detriment of the Customer or User take effect only after the User accepts the new text. In such a change, the User is asked to accept the new text at their next sign-in; a Customer who does not wish to accept may close its account and retrieve its data under Section 12.

Typo corrections, contact detail updates and changes in the Customer's favor take effect on the date they are published.

14. Governing Law and Jurisdiction

These terms are governed by the laws of the Republic of Türkiye. The Courts and Enforcement Offices of Istanbul (Çağlayan) have jurisdiction over disputes arising from these terms.
