Supplier Terms of Use

1. Parties and the Platform's Role

These terms of use govern the relationship between suppliers using the talep.io supplier portal ("Supplier") and Talep Teknoloji A.Ş. ("talep.io").

talep.io is an intermediary software platform that enables buyer companies ("Buyer") and Suppliers to communicate digitally. talep.io is not a party to any commercial transaction between a Buyer and a Supplier, and does not act as an agent, broker or representative.

2. Commercial Relationships and Limitation of Liability

Since talep.io is not a party to the commercial relationship between the Buyer and the Supplier, it cannot be held liable for damages arising from:

• The conclusion or failure to conclude quotes, orders, tenders or contracts
• Payment being made, delayed, made in part or not made at all
• Goods or services not being delivered, being delivered late or being defective
• Requests for cancellation, return, termination or withdrawal from a contract
• Any dispute that may arise between the Buyer and the Supplier
• The Buyer's financial standing, ability to pay or reliability
• The accuracy, completeness or legal validity of request and tender content published by the Buyer

Disputes on these matters are resolved solely between the Buyer and the Supplier.

talep.io's liability arising from providing the Platform is limited to direct damages; talep.io is not liable for indirect damages or loss of profit. These limitations do not apply to damages arising from talep.io's intent or gross negligence (Turkish Code of Obligations No. 6098, Article 115).

3. Provision of the Platform and Service Interruptions

talep.io strives to provide the platform with reasonable care, but does not guarantee that it will work without interruption, without errors or for a particular purpose. Interruptions may occur due to maintenance, technical failures, cyberattacks or third-party service providers (servers, email infrastructure, etc.).

talep.io may improve, change, temporarily suspend or shut down the platform. Planned and lengthy interruptions are announced in advance whenever possible. The limitation of liability in Section 2 applies to damages arising from these situations.

4. Processing and Storage of Personal Data

The Supplier acknowledges that the personal data it provides while using the portal (name, email, phone, tax number, address, etc.) will be processed for the following purposes:

• Verifying the Supplier's identity and managing the account
• Communicating with buyer companies and carrying out transaction processes
• Meeting legal obligations
• Platform security and detection of misuse

Personal data is stored securely with talep.io's server infrastructure providers. Data may be shared with the Buyer companies the Supplier works with, with essential technical service providers and, where legally required, with competent public authorities. It is not shared with any other third party for commercial purposes. Details are in the Privacy Policy (talep.io/privacy).

When an account deletion is requested, data is anonymized or deleted after being retained for the period required by the relevant legislation. For requests about data processing: info@talep.io

5. Supplier Obligations

For as long as it uses the portal, the Supplier undertakes:

• That all information it provides (company details, quotes, documents) is accurate and up to date
• To keep its account access details confidential and not share them with third parties
• To use the portal only for lawful commercial purposes
• Not to make any technical attempt that would adversely affect the platform, other users or talep.io's infrastructure
• That the content it sends to buyer companies is not misleading, fake or infringing on the rights of third parties

6. Account Suspension and Termination

If there is reasonable suspicion that these terms have been breached, talep.io may temporarily suspend or permanently terminate the Supplier's portal access. This does not affect the Supplier's relationship with the Buyer companies it works with; the commercial obligations between the parties continue.

7. Changes to the Terms

talep.io may update these terms. The current text is always published at talep.io/tedarikci-kosullari, and changes are announced to the Supplier by email or within the portal.

Material changes to the Supplier's detriment take effect only after the Supplier accepts the new text. In such a change, the Supplier is asked to accept the new text at its next portal sign-in. A Supplier who does not wish to accept may stop using the portal; this does not affect its existing commercial obligations to the Buyer.

Typo corrections, contact detail updates and changes in the Supplier's favor take effect on the date they are published.

8. Governing Law and Jurisdiction

These terms are governed by the laws of the Republic of Türkiye. The Courts and Enforcement Offices of Istanbul (Çağlayan) have jurisdiction over disputes arising from these terms.
